  • Platform: Refers to Coffeeplaza.co and all associated services, applications, and digital interfaces.

  • Roaster: A registered business entity listing and/or selling products via the Platform.

  • Services: All tools and functionalities offered by the Platform, including marketplace listings, search, sample requests, bidding systems, events, blog content, and subscription features.

3. ACCEPTANCE OF TERMS

By accessing or using the Platform, Users expressly agree to comply with these Terms and Conditions. If a User does not agree with any clause herein, they must refrain from using the Platform.


4. ROLES AND RESPONSIBILITIES

4.1 The Company

  • Acts as a digital intermediary among Roasters, Coffee Shops, and End Customers.
  • Maintains full authority to modify, suspend, or delete any User account at its sole discretion.
  • Administers the financial transaction system and retains the right to intervene in cases of fraud or abuse.
  • May modify, enhance, or restrict any features of the Platform without prior notice.
  • Encourages ethical business practices but enforces strict compliance with these Terms.

4.2 Roasters

  • Must comply with relevant laws, taxes, and quality standards in their respective jurisdictions.
  • Agree to fulfill financial and logistical obligations related to each transaction or sample.
  • Must not circumvent Platform payment mechanisms or solicit off-platform transactions.
  • Acknowledge that the Company may withhold or cancel payments in case of violations or disputes.

4.3 Coffee Shops

  • Must keep their subscription active when enrolled in paid services or B2B tools.
  • Are expected to act in good faith in dealings with Roasters and other Users.
  • Understand that failure to pay dues or subscriptions may result in service disruption or account suspension.

4.4 End Customers

  • Are expected to use the Platform solely for lawful, personal purposes.
  • Must not manipulate reviews, promotions, bidding, or other system functionalities.
  • Are required to interact respectfully and lawfully with vendors and other users.

5. FAIR USE AND PROHIBITED CONDUCT

The following behaviors are strictly prohibited:

  • Creating false identities or misrepresenting business credentials.
  • Circumventing fees, subscriptions, or any feature intended to monetize Platform use.
  • Exploiting bugs, errors, or functionalities for personal or business advantage.
  • Engaging in activity that harms the Platform, its reputation, or its community.
  • Using the Platform as a bridge for off-platform deals (see section 11).

Violation of this policy may result in account suspension, termination, and legal action where applicable.


6. PAYMENTS, SUBSCRIPTIONS, AND FINANCIAL TERMS

  • All payments are processed through authorized providers (e.g., Stripe, PayPal).
  • The Company may temporarily withhold or reverse payments if disputes or violations are identified.
  • Users are responsible for fulfilling their financial obligations promptly and in full.
  • Subscriptions renew automatically unless canceled under the Platform’s subscription policy.
  • Late payments, chargebacks, or misuse of financial tools may result in penalties or suspension.

7. TERMINATION AND ACCOUNT SUSPENSION

The Company reserves the right to:

  • Suspend or terminate accounts that violate these Terms or disrupt the ecosystem.
  • Deny access to certain features or withhold funds as part of a disciplinary process.
  • Investigate reports or signals of abuse and act accordingly, without prior notice if deemed necessary.

Efforts will be made to mediate conflicts when possible, but the Platform may act unilaterally when violations are confirmed.


8. INTELLECTUAL PROPERTY

All Platform content—including branding, interface, and functionalities—is the property of the Company or its licensors.

Users may not copy, redistribute, or exploit any content or system without explicit written permission.


9. DATA PRIVACY

Users agree not to use the Platform or any of its features—such as Bids, Events, Samples, or Messaging—to initiate or facilitate commercial transactions that take place outside the Platform’s payment system.

For example, if a Coffee Shop requests a sample from a Roaster via the Platform, and then both parties agree to execute the purchase privately to avoid fees or commissions, this behavior is considered an abuse to the platform.

Such circumvention undermines the integrity and sustainability of the Platform. If the Company detects such abuse, it reserves the right to:

  • Immediately suspend or terminate the accounts involved.
  • Restrict access to any related features or services.

Users are encouraged to act in good faith, respecting the rules that maintain trust within the community.


12. LIMITATION OF LIABILITY IN USER INTERACTIONS

The Company provides the Platform as an intermediary and infrastructure tool only. It is not a party to individual contracts between Roasters, Coffee Shops, or End Customers.

Accordingly, the Company is not liable for:

  • The quality, safety, legality, or accuracy of any product or service offered by Roasters or Coffee Shops.
  • Any disputes, losses, or damages resulting from transactions or communications between Roasters, Coffee Shops and/or Users.
  • Delays, missed deliveries, poor service, or breach of expectations by any User.

All interactions and agreements between Users are conducted at their own risk. The Company may choose to mediate conflicts but assumes no obligation to do so.


13. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of [UNITED KINGDOM], and any disputes shall be resolved before the competent courts in [LONDON, UNITED KINGDOM].
